A representative signer, however, signs on behalf of another person or entity because they have been granted authority to do so. Common examples include an attorney-in-fact signing under a power of attorney, a trustee signing for a trust, an executor or administrator signing for an estate, a guardian signing for a ward, or a corporate officer signing on behalf of a business.

One important thing for notaries to know is that representative capacity rules and certificate wording can vary significantly by state. For example, Illinois is unique in that it allows a signer to take an oath or affirmation in a representative capacity. California takes a different approach—its acknowledgment certificate wording remains the same whether the signer is acting individually or in a representative capacity. In California, the notary identifies the individual appearing before them but does not certify the representative authority itself.

💡Tip: When working with a representative signer, focus on identifying the person appearing before you and follow your state's notarial laws. The authority they claim to hold is often addressed by the underlying document and applicable law—not by assumptions made during the notarization.
