Business registration and trademark protection are two separate processes and plenty of business owners find that out after they've already invested in a logo, a website, and packaging. At that point, rebranding is inconvenient and expensive.
Registering your business name with the state allows you operate legally in the state under that name. It does not give you the exclusive right to use that name, which could be used by any other business in any other state. Even more concerning, another business can already own a federal trademark registration for that name, which could prevent you from moving forward with your business name.

Most business owners are not trying to cut corners. They are moving fast, trusting people, and putting legal work off until something goes wrong. The problem is that small gaps in contracts, policies, or business structure become expensive once money, partnerships, or customers are involved.
