Today's lesson? A "secured" deal isn't secured just because the contract says so.

When you're financing the sale of a business, equipment, or other valuable assets, legal protection is often a package, not a single document.

A properly documented transaction may include:

📄 A Purchase & Sale Agreement
📝 A Promissory Note
🛡️ A Security Agreement granting the collateral
📌 The appropriate filing (such as a UCC-1 Financing Statement) to perfect and protect the secured interest against third parties.

Miss one piece, and your "secured" position may not provide the protection you expected if the buyer defaults.

🐶 Don't make it ruff on yourself by stopping at the contract. Make sure the entire transaction is documented and properly protected.
