What is a Captive?

Captive insurance is a unique way for a business to insure itself. The business sets up a separate legal entity (a “captive insurance company”) that acts as the insurer itself, rather than taking out a policy with a traditional insurance company.

What is an Indemnity Agreement?

Most contracts will include Indemnification or Indemnity agreements in addition to the Insurance Requirements Exhibit. This means that if you comply with the contract’s insurance requirements and a claim exhausts your policy limits, you or your company can still be on the hook for the remainder of the damages to your client. Increasing your underlying limit of liability and an umbrella policy can help protect you or your company in the event of a multi-million dollar lawsuit.

What is E&O Liability Insurance?

This most commonly involves professional advice that you give to clients. But, with some policies, it also involves unintentional violations of copyright and other intellectual property law, or defamation, such as libel.

For companies that provide advice, E&O liability insurance is essential. But, it can also prove to be very useful for companies that supply software and similar tools that clients might then use for their own businesses.
