“There are over a million names in the register and yet only about 200,000 are doing serious business in Ghana.” –the Registrar General of Ghana reveals.
-------------------------------------------------------------------------------
Speaking on the dissolution of companies, the registrar reveals that notice has been given to strike names of about 3,100 companies off the register beginning October 2021.
The only way to reinstate the company is by going to court. To avoid this, the company must regularly file its annual returns to be in good standing. There are a lot of names on the register, but just a few are doing serious business, she laments.
Failure to file returns attracts monetary sanctions.
She explained that the annual return is a booklet that can be downloaded from the website, and the information required are:
-The last date of the annual general meeting.
-The most current information on directors and details of shareholders, etc.
-Financial statements.
A return for a company that has not done any activity within the year.
It costs only fifty Ghana Cedis to file this return.
She categorically stated that all companies registered before 2012 must update their information through a re-registration exercise.
Old documents must be presented to be scanned into the RGD, and new identification will be given.
With a touch of a button, anyone can check whether the company is in good standing or not.
The Registrar General was speaking as a guest speaker at the Ghana Corporate Law and Governance Seminar on 9th October 2021 organised by Edfields Attorneys.

It is reasonable to expect that one of the underlying themes of the new
Companies' Act, 2019 (Act 992) should be to hold individuals more accountable and force them to act more responsibly in the day-to-day running of companies as the recent bank failures left us with an important lesson; bad corporate governance is to blame for the historic low shelf life of Ghanaian businesses.
It, therefore, comes as a relief that the new Act considered all these matters and injected more accountability and transparency into corporate practice.
To qualify as a director now, a person must make a statutory declaration indicating that they have not been convicted or charged with an offence involving dishonesty and whether they have been involved in any form with an insolvent company within the preceding five years.
