Private Higher Education Reform in Cameroon

A manual to facilitate the mutation of IPES into moral private law persons

Mr. Secretary-General, representing the Minister of State, Ministry of Higher Education, presided over on Monday, December 23, 2024 in Conference Room 1036, a strategic seminar on validation of the manual of procedures aimed at accompanying Private Higher Education Institutions (IPES) in their transformation into moral persons of private law.

This seminar, coordinated by the Higher Education Development Directorate through the Private Higher Education Sub-Direction, marks a crucial step in the implementation of Act No. 2023/007 dated July 25, 2023.

The production of this handbook meets the need expressed by IPES promoters, to make understanding of the new directions of the new law plausible.

Structured into three sections, the guide presents the different legal options inherent in the transition into moral persons of private law. Thus, the first section explores the different forms such as Limited Liability Corporation (SARL), Simplified Actions Corporation (SAS), cooperatives and civil societies. Ample explanations are mentioned so promoters can make an informed choice based on their needs and goals.

The second section addresses the most used associative form in Cameroon because of its social and educational dimension. However, this form requires a legal recognition process with local administrative authorities. A benchmark, detailing the benefits and limitations of each option, has been established to enable developers to assess risks and make informed decisions.

Pr Wilfred NYONGBET GABSA has emphasized the importance of this reform in his speech highlighting transparency in governance which ensures higher quality education.

The legislator's ambition is in this perspective to clearly dissociate the personal wealth of the promoters of the institutions, in order to strengthen the management of financial risks while preserving the independence of institutions.
