Shareholders of Sierra Metals Inc. voted in support of the current Board of Directors at the annual meeting of shareholders that was held this afternoon. This was not an easy win - a dissident shareholder with a long history with the company that held almost 27% of its outstanding shares attempted to replace the majority of the board with its own nominees. The board and management did an absolutely amazing job at influencing shareholders by actively engaging with them no matter how large or small their holding. Picking the right advisors didn’t hurt either 😊

This weekend I attended the beautiful wedding of my cousin Alison who is pictured here with me and our cousin Karen. I have watched these two grow into absolutely amazing women that have pursued careers in fields that they are passionate about. Alison is a Lawyer that specializes in First Nations legal matters at First Peoples Law LLP and Karen is the Director of the Artificial Intelligence Task Force at Distributive. I am so proud of them and look forward to watching them develop into inspirational leaders and role models for future generations of professional women.

Shareholders encouraged to vote in advance of the vote deadline on Wednesday, June 21, 2023 at 5:00 p.m. (Toronto time).

What is Notice and Access?

In 2013, NI 54-101 and 51-102 were amended to allow issuers to mail a one-page letter instead of a full information circular (“Notice and Access”). The letter must contain all of the pertinent meeting information along with a website address where the full information circular is posted. This can save issuers significate cost associated with printing and mailing a full information circular.

Important considerations before utilizing Notice and Access:

The record date for utilizing Notice and Access must be at lease 40 days prior to the meeting versus 30 days for a traditional mailing.

The mailing deadline for utilizing Notice and Access must be at least 30 days prior to the meeting versus 21 days for a traditional mailing.

In addition to posting on SEDAR, the meeting material must be posted on a readily-available public website.

The vote participation is generally lower when issuers utilize Notice and Access.
