Valhalla Diamond Trust (the "Fund") was established to provide Trust Unitholders with the opportunity to participate in the returns available on the acquisition, appreciation and sale of Diamonds by the Partnership. The Fund believes that there exists an opportunity to see a potential gain form the appreciation of Diamonds. The Fund was formed to qualify as a mutual fund trust. Pursuant to the Off
ering, the Fund will issue Trust Units to qualified Subscribers through registered Dealers and their advisors. The Fund will use the proceeds from the sale of Trust Units to purchase Class A Partnership Units in the Partnership. The Partnership will use the proceeds from the issuance of Class A Partnership Units, less Partnership Expense, the Redemption Reserve, the Operating Reserve. to purchase Diamonds. The Fund will continue to use the gross proceeds from each Closing in order to purchase Class A Partnership Units and the Partnership will continue to use the proceeds from the issuance of Class A Partnership Units to purchase Diamonds. The Fund will only qualify as a Mutual Fund Trust when the number of Trust Unitholders reaches 150. Profits, if any, realized from the acquisition, appreciation and sale of Diamonds will ultimately form the basis of Trust Distributions. The Partnership intends to utilize a portion of the cash flow generated from the sale of Diamonds to pay Partnership Distributions, in such amounts determined from time to time by the General Partner, and only after paying the Partnership Expenses, the Redemptions Reserve, and the Operating Reserve. The Fund will will use the proceeds received from the Partnership Distributions to pay Trust Distributions to Unitholders. Effectively, potential profits will be split 80/20 with the General Partner. The Partnership expects to hold Diamonds for a period of approximately five to ten years from the date of the Final Closing and will dispose of the Diamonds, in its sole discretion, as is commercially opportune. The General Partner believes that the acquisition of Diamonds provide a substantial competitive advantage based upon the following factors:
- diamonds, especially investment grade, are rare;
- diamond prices have shown consistent growth over the last 10 years;
- the trajectory on prices indicates a continued rise in the value of investment grade diamonds;
- the diamond industry is anticipated to encounter a supply and demand gap;
- consumer demand is increasing
