Changing your company structure does not mean you need to start over.

With Federal Decree-Law No. 20 of 2025, UAE companies can now explore jurisdiction transfers without dissolving the business. This means a company may be able to move between emirates, shift from mainland to a free zone, or transfer into the UAE from abroad while preserving its legal identity.

The UAE has introduced new federal rules for regulated virtual asset businesses under CMA Decision No. 4/R.M/2026.

Key requirements include:
• Minimum capital of AED 500,000 to AED 4 million
• CMA accreditation for designated senior personnel
• UAE residency for certain senior roles

Separately, businesses covered by the UAE Central Bank’s expanded framework may need to comply by 16 September 2026, with maximum administrative fines reaching AED 1 billion.

Most UAE businesses don’t know this rule exists, and the clock is already running. 🔴

Under the UAE VAT Law and Tax Procedures Law amendments effective from 1 January 2026, excess recoverable VAT and credit balances are now subject to a five-year recovery window.

If eligible VAT credits are not claimed, refunded, or used within the permitted timeframe, the right to recover them may expire.

Key deadlines to review:
- Credits from 2018–2020 may fall under the transitional relief window ending on 31 December 2026.
- Credits from 2021 and later should be reviewed based on the tax period in which they arose and the applicable transitional rules.
