DOES MY BUSINESS REALLY NEED A LAWYER?

While I was going through my recent posts on retainers, it occurred to me that many business owners may not recognize the aspects of their business that require legal expertise. Many people see no need for a lawyer once their businesses have been registered with the appropriate authorities.

This post will list the various areas where businesses and companies need lawyers. May I warn you that the post is a little bit long.

You need a lawyer to update you about new laws and policies governing the industry your company or business operates. Laws are changing everyday and as a lay person, you may not be aware of this fact. Even when you become aware, your limited knowledge of law may prevent you from knowing its implications on your business. Only a lawyer can set you straight with the legal aspects of your business.

Other areas where you need legal expertise include:

Insurance issues;

Employment contracts;

Financing, refinancing, Company restructuring/mergers and acquisitions, Joint venture, partnership, limited liability company agreements, investment agreements, shareholdersโ€™ agreements, private equity documentation and other equity and/or quasi-equity funding documentation.

A business risks being struck off the register or wound up if they cannot be contacted at an address.

A private company limited by shares is the most common type of company. A company of this type has a share capital and the liability of each member is limited to the amount, if any, unpaid on their shares. For example, if a company has two member (shareholder) and they own 200,000 shares at a value of SSP 20 they would be liable for SSP 200,000 (if unpaid) at the time of winding up.

Other types of companies are:

a) private company limited by guarantee (limited to amount guarantors agree to contribute to company assets if the company is wound up)

b) private unlimited company (directors or shareholders are liable for all debts)

c) public limited company

All individuals actings as company directors:

must be at least 18 years of age
must not have been previously disqualified from acting as a company director
must not be going through the process of bankruptcy

Company secretary

Private limited companies are not required to have a company secretary anymore (a person who ensures compliance and updates Business Registry with ongoing changes). These responsibilities should be carried out by company directors.

The company secretary can also be a company director, but cannot be the companyโ€™s auditor.
