Amendments to the N.C. Business Corporation Act and more substantial changes to the N.C. Limited Liability Company Act take effect January 1. New LLC forms and other new business entity forms will be required by the N.C. Secretary of State for filings in 2014. LLC members and managers may want to review their current Operating Agreements, and in some cases, make changes in accordance with the new statutes.
Also, remember to review and follow the annual requirements of your existing Operating Agreements and/or Bylaws.
We hope everyone has a prosperous and Happy New Year!
