[09/20/14] Creation of a corporation for the purpose of avoiding a potential obligation is improper; a recent Virginia case wherein the owners maintained the formalities was held insufficient to protect the owners personally because the only reason they formed the company was to avoid this pre-existing potential claim which had not yet been sued upon.

If your company is owed money and wants to sue to collect, it has no standing to sue if it is terminated for failure to pay its annual fee, or file its annual report.
This week’s posts will focus on the “Legal Fitness” of the business structure and operation, and each day will highlight awareness and action on common mistakes, oversights, simple lack of attention.
The focus will be on manners in which the protection that business owners seek when they incorporate their business or create limited liability companies may be lost. This is commonly known as “piercing the corporate veil” by creditors and others who may have a claim against the business to allow suing the owner individually as well, thereby exposing the personal assets of the owner to the potential liability.
